I. GENERAL

1.1These General Terms and Conditions govern the relationship between Skillplate inc. (Hereinafter referred to as “we, us/ Skillplate”) and the users of our Platform https://skillplate.com , (hereinafter referred to as "Platform" for short).

1.2With each use of the Platform's resources, Users/Creators declare that they are familiar with these General Terms and Conditions, agree with them and undertake to comply with them.

1.3The products that are offered via our Platform, and/or other marketing channels are described in full in these Terms of use. Skillplate reserves its right to sell any of the products, under trade name of its choosing.

1.4If you create a user or creator account and buy any of the offer content on our Platform, you become a user/creator, in the terms described in our Privacy Policy, which you can find on our Platform. After registration on our Platform, regardless as user or creator, the following Terms of use are considered as end user agreement for our product.

1.5Definitions:

The Platform - this is Skillplate and everything it includes;
Users - Users of the Platform are person who create a profile in our Platform, and buy a product, offered by a Creator. The term applies for Marketplace User and Academy/school User.
Creators – Creator in the Platform is person/company who creates and manages Creator account to create and sell content.
Academy/Course – the product of the Creator
Dashboard - The admin panel where our users/creator manage their platform
Portal- The place where students can consume the content;
Integrations- our integrations with other services as well as integrations with other services that we do on behalf of our customers

II. DESCRIPTION OF PLATFORM RESOURCES

2.1The resources that the Platform offers are as follows:

For the Creators - Skillplate allows creators to sell and distribute online products such as courses, files, gated content, private access, texts, etc. to different users. Skillplate also allows creators to fully manage their content, sales, products, and users through a single interface by providing all the necessary tools, functionalities, and integrations. Skillplate also offers some creators (upon approval) to list some of their products for sale in Skillplate marketplace thus boosting their sales.
For the Marketplace User - Skillplate allows users to browse for and purchase courses and other digital products from Skillplate marketplace. Skillplate offers a clean and easy interface for a user to find the course they are looking for. Skillplate also allows user to log in to their Skillplate profile and access all of their courses with a simple 1 click interface.
For the Academy/school User - Skillplate allows users to access their digital products in a clean, easy-to-use, and mobile-friendly interface. The users can log in, preserve their progress, leave notes, access any private communities they have, and manage their accounts and subscriptions. The users can also browse other courses from the the same creator and make purchases without having to leave the education portal

2.2Any user/creator has access to the Platform, after registration.

2.3Platform technology and design are subject to change without prior notice.

III. INTELLECTUAL PROPERTY

3.1All intellectual property rights regarding the information resources and content of the Platform and the product are exercised by Skillplate. They are protected by the Copyright Act and related rights, and any use of content from the Platform, without the consent of Skillplate, is a violation of the law, which may result in civil, administrative and/or criminal liability. The Platform is the protected subject of copyright and related rights and contains the subject of such rights.

3.2The Platform and the product contains information, materials, features, and other content that constitute copyrighted and related rights and contains such objects as trademarks, logos, trademarks, product and service names, and other similar protected objects of rights.

3.3In the case of copying and/or reproduction of information beyond what is permissible, as well as in case of any other violation of intellectual property rights on the resources of Skillplate, Skillplate has the right to claim compensation for direct and indirect damages suffered in full.

3.4The use of the Platform or protected sites under the previous articles, in violation of the provisions of these General Terms and Conditions, in addition to violating the agreements between users/creators and Skillplate, may also constitute a violation of rights on objects that are the subject of foreign intellectual and/or industrial property, as well as other legally protected rights and legitimate interests of Skillplate and/or third parties. For any violation under this article, the relevant user/creator assumes all liability - civil, administrative and/or criminal, and the payment of compensation imposed by a competent authority to the affected persons.

3.5Skillplate has the right to compensation for all damages, expenses and claims of third parties that are a consequence of a violation of these General Terms and Conditions and/or unregulated use of the services on the Platform.

IV. LIMITATION OF LIABILITY

4.1Skillplate takes the necessary measures to keep the content of the Platform up-to- date, but is not responsible for the actual up-to-date of the same. In this regard, Skillplate is not responsible for damages, including direct and/or indirect damages, including lost profits, that a user of the Platform (user or creator) would suffer under any circumstances related to the published content of the Platform and access to it. By using the Platform, users/creators assume all risks associated therewith, including any risk to users' end devices, software and/or data.

4.2To the extent that the content of the Platform contains links to content located outside the same, the user/creator is aware of the fact that Skillplate has no control over the same and is not responsible for the consequences of activating links leading outside the Platform.

4.3Skillplate is not responsible for the subjective perceptions and/or interpretation of the, completeness and usefulness of the information resources on the Platform.

4.4Skillplate is not responsible for malicious actions by third parties, to which the user could become subject, when using the Platform. The user/creator uses the Platform at his own risk.

4.5Skillplate is not responsible for any losses, direct, indirect and/or consequential damages and lost profits, as a result of and/or in connection with the use of the Platform and/or the temporary inability to access/use the Platform.

4.6While we hope this product is going to be useful and we invested a lot of time and effort trying to make it so, there is no warranty of any kind. Warrantee does not cover fitness of purpose, not meeting of expectations or needs in the mind of the buyer.

4.7All of the limitation of liability, implies directly to Skillplate, as provider of the service that we offer to you.

V. USE OF THE PLATFORM

5.1Users of the Platform (both Creators and Users) accept and undertake to comply with these General Terms and Conditions. With each use of services and resources from the Platform, including opening an Internet page from the Platform, users declare that they are familiar with these General Terms and Conditions, agree with them and undertake to comply with them.

5.2Users/creators should use the Platform in good faith, including not taking malicious actions that may affect the accessibility of the content to third parties and/or the use of the Platform in general.

5.3The use of the Platform is carried out without the need for prior registration by the users/creators.

5.4Use of the Platform is free and available 24 hours a day, 7 days a week (24x7).

5.5Any use of the content of the Platform, created by Skillplate, including recording, copying, publishing, reproduction, distribution, broadcasting, transmission and/or retransmission over an electronic communications network, publication on the Internet, public display, processing and/or use in any other way, outside of those specified in these General Terms and Conditions, can only be done with the express permission of Skillplate.

VI. USE OF THE PRODUCT. LIABILITY.

6.1Any advice provided on this Platform or from within the product’s user/creator interface should not be considered as legal or professional advice in any way. Skillplate and its affiliates, and/or licensors hereby disclaim any conditions, representations, and warranties, express or implied, of accuracy, suitability, quality, fitness for a particular purpose, merchantability, non-infringement, and/or non-interference as regards its content, materials, programs, services, and software.

6.2The Product and all services provided may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of any law is strictly prohibited. This includes, but is not limited to: copyrighted material, material we judge to be threatening or obscene, or material protected by trade secret and other statute. You agree to indemnify and hold Skillplate harmless from any claims resulting from the use of the Product, which may damage any other party.

6.3Our Service and all content on Skillplate is provided on an "as is" basis without warranty of any kind, whether express or implied. Skillplate takes no responsibility and assumes no liability for any of the Creator Content or third party posts or sends using our service. The user/creator must assume all risk of using the program. This disclaimer of warranty constitutes an essential part of the agreement. You understand and agree that you may be exposed to Creator content that’s inaccurate, objectionable, inappropriate, or otherwise unsuited to your purpose. If you may find ones Creator’s content harmful, violent, please report it to us.

6.4Any liability of Skillplate will be limited exclusively to refund of purchase price. In addition, in no event shall Skillplate or its principals, shareholders, officers, employees, affiliates, contractors, subsidiaries, or parent organizations, be liable for any incidental, consequential, punitive or any other damages whatsoever relating to the use of our Product.

6.5You may use Skillplate’s products if you can legally form a contract with us in compliance with our Terms. When you create your User/Creator account, you must provide us with accurate and complete information. Any use or access by anyone under the age of 18 is prohibited.

6.6Any use by of the content of the Product, including recording, copying, publishing, reproduction, distribution, broadcasting, transmission and/or retransmission over an electronic communications network, publication on the Internet, public display, processing and/or use in any other way, outside of those specified in these General Terms and Conditions, can only be done with the express permission of Skillplate.

VII. BUYING OF THE PRODUCT. PAYMENT

7.1You can use our product in several ways:

Buying and using our product as a Creator – creating a profile, managing it and using it to sell and distribute online products such as courses, files, gated content, private access, texts, etc. to different users (either Marketplace User or Academy User).
Buying and using a product from Creator/s, via the Marketplace on our Platform as Marketplace User. The product is sold to the user, after registering on our Platform as user and buying its first course, offered on the marketplace. When buying our product, you, as user, will receive a personal account, which will give you rights to manage, buy and use the content, shared on our Platform and participate in community we create. Skillplate allows users to access their digital products in a clean, easy-to-use, and mobile-friendly interface. The users can log in, preserve their progress, leave notes, access any private communities they have, and manage their accounts and subscriptions. The users can also browse other courses from the same creator and make purchases without having to leave the education portal.

7.2You may purchase our products in the manners indicated on the Platform. We reserve our right to determine the prices of the product. The prices of the product may vary, as for the current price of the product, you may check the prices, currently announced on the Platform. You will receive an invoice for the payment that you made.

7.3Skillplate offers different plans that scale with the needs of the Creators. All plans are restricted based on the usage that the creator generates with the sales and usage of the platform. There are 4 usage criteria:

Contacts - The total number of users that the creator has in their academy/school.
Active Users - The total number of users that have access to one or more of the creators' products
Storage hours - The sum of all stored hours of video that the creator has added to the platform
Streaming minutes - The total amount of streaming time used by the active users of the creators' academy/school. This is calculated on a monthly basis and is reset on every monthly billing cycle

7.3When you make purchases on the Platform or via alternative channels, you must provide us true information of your real name, billing address, email address and credit/debit card or other account charge authorization information. More information about how we store and process your personal data, you may find in our Privacy Policy.

7.4We do not process or store any credit/debit card data or information. To secure the payment process, we use the services of Stripe.

7.5All prices, indicated on our Platform, always contain VAT, according to the country of the user making the purchase. Please keep in mind: when a purchase happens we first have to deduct the VAT. Your revenue share, affiliate commission, refer-a-pro bonus are always applied on the net amount.

7.6While there is no guarantee for fitness or suitability for any purpose we did our best to make the product as good as possible. You can request a refund for course, bought from our Marketplace up to 14 days, after the purchase.

7.7Skillplate will provide full refund of your payment in the following cases:

When a customer stably encounters an error which is preventing them from using the Product properly, and if we are not able to correct the error within an acceptable period of time or are unable to suggest a temporary solution. To claim a refund under the money back guarantee contact us within 30 days of the original purchase date. Refund is only given if you provide detailed information about your error, requested by our support staff, such as screenshots of error messages, log files, detailed descriptions of your actions, etc.
If you accidentally bought a course more than once.

VIII. SECURITY

8.1We care about the security of our users. While we work hard to keep your contents and account safe, Skillplate cannot guarantee that unauthorized third parties won’t be able to defeat our security measures. We do ask you to keep your password secure. Please notify us immediately of any compromised or unauthorized use of your account. Please note: Skillplate never asks for your password by email or by any format other than the standard login window of our application!

8.2If we notice strange activity on your user account, we may freeze your account until situation is clarified. Strange activity includes actions like logins from unusual locations, many logins attempts within a short period of time, deviation from deposit/cashout patterns or any other suspicious behavior. In this case please check your email address registered with us or contact us via the contact form and follow our instructions.

IX. OTHERS

9.1If you fulfill our Terms we grant you a non-limited, non-exclusive, non-transferable, and revocable account to use our Service.

9.2Skillplate reserves the right to amend these General Terms and Conditions at any time, and at any moment the current terms of use of the Platform will be published on the same.

9.3The provisions of the current European legislation to all matters not settled by these General Terms and Conditions. If you don’t agree to the new terms, please stop using our Platform.
